Terms of Service
Effective October 30, 2026 · version 2026-10-30
1. Who we are and what these terms cover
Pharma OS is software operated by Joshi Ventures, Inc., a Delaware corporation ("Pharma OS", "we", "us"). These Terms of Service are an agreement between us and the pharmacy business that enrolls ("you", "the customer"). The person who enrolls confirms they are authorized to bind the pharmacy. By enrolling or using Pharma OS, you accept these terms, the Privacy Policy and the HIPAA Business Associate Agreement at pharmaos.health/baa.
2. The service
Pharma OS gives independent pharmacies tools for compliance records and programs, staff training, invoices and inventory, HR records, store tasks, social media, a pharmacy website, comprehensive medication review (CMR) drafts, profit and loss reports and related features. Features can change as we improve the product; we will not remove a core feature you pay for without 30 days' notice.
3. Professional judgment stays with you
Pharma OS is not a pharmacy, a law firm, an accountant or a clinician, and nothing in it is legal, clinical, tax or financial advice. Policies, training, checklists and compliance content are templates written from published rules; you are responsible for adopting, adapting and following them, and for having them reviewed by your own counsel where needed. Anything produced with artificial intelligence (CMR drafts, captions, pictures, invoice reading, answers in Ask and Help) can be wrong and must be reviewed by a qualified person before you rely on it. Pharmacists remain responsible for every clinical decision and every patient communication.
4. Accounts and security
- You decide who gets a login and what each person can see, and you remove access when someone leaves.
- Each person uses their own login. Don't share passwords. We strongly recommend two-step login for owners and anyone with access to money or HR records.
- Tell us right away at support@pharmaos.health if you think a login was misused.
5. Subscription, trial and billing
- Pharma OS is billed per store per month at the price shown when you enroll (currently $299 per store per month), after any free trial. Subscriptions renew monthly until cancelled. Payments are processed by Stripe.
- You can cancel at any time on Team & stores. Cancellation takes effect at the end of the period you have paid for; we don't refund partial months.
- We may change prices with at least 30 days' notice by email. If a payment fails and isn't fixed after notice, we may pause access to the paid features until it is.
- Some features have monthly limits per store (for example Ask questions, CMR reports and AI pictures). The current limits are shown in the app.
6. Your data
- You own the data you put into Pharma OS ("customer data"). You give us permission to store, process and display it only to provide, secure and support the service for you.
- Protected health information is handled under the Business Associate Agreement, which controls if it conflicts with these terms.
- You can download your records from the modules at any time. When you delete a store's data (Team & stores, Delete all my data), it is deleted after a 7-day waiting period you can cancel. When an account ends, we delete customer data within 30 days, except encrypted backups that expire on their normal schedule (up to 35 days) and security audit logs that must be kept unchanged for their retention period.
- We don't sell customer data and don't use it to advertise to you or to anyone else. We may use de-identified, aggregated usage statistics (for example, how many invoices are scanned) to run and improve the service.
7. What you may not do
- Use Pharma OS to break any law, including pharmacy, privacy, advertising, anti-kickback and employment laws.
- Upload patient information into features that say not to (for example, CMR uploads must use patient codes, not names), or type patient information into Help.
- Publish posts that haven't been reviewed and approved by a pharmacist. You are responsible for everything published from your accounts.
- Try to get into other customers' data, probe or overload the service, reverse engineer it, or resell it without our written permission.
8. Other companies' services
Some features use other companies' services: Microsoft Azure (hosting, email), Stripe (payments), Anthropic (AI text), OpenAI (AI pictures), Meta (Facebook and Instagram) and Google (Business Profile, when available). Connecting your own Facebook, Instagram or Google account also means accepting that company's terms. We are not responsible for outages or changes in those services, but we will work around them where we can.
9. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for this agreement, except where the law requires disclosure.
10. Availability and support
We work to keep Pharma OS available every day and monitor it around the clock, but there may be planned maintenance and unplanned outages. Support is available through the Help button and at support@pharmaos.health; a person usually answers within one business day.
11. Warranties
We will provide the service with reasonable skill and care. Otherwise, to the extent the law allows, Pharma OS is provided "as is", without other warranties, including fitness for a particular purpose or that it will be error free.
12. Limits of liability
To the extent the law allows: neither of us is liable for indirect, incidental, special or consequential damages or lost profits; and our total liability under this agreement is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to a party's obligations to protect protected health information under the Business Associate Agreement to the extent caused by that party, to fraud or willful misconduct, or to amounts you owe us.
13. Indemnity
You will defend us against third-party claims arising from content you publish, data you upload without the right to do so, or your breach of section 7. We will defend you against third-party claims that the Pharma OS software itself infringes their intellectual property.
14. Term and ending the agreement
This agreement lasts while you have an account. You can end it by cancelling. We can end it with 30 days' notice, or immediately if you seriously break these terms or don't pay after notice. Sections 3, 6, 9, 11, 12, 13 and 15 continue after it ends.
15. General
- New York law governs these terms, and the state and federal courts in New York County, New York, have exclusive jurisdiction.
- We may update these terms. We will email account owners at least 30 days before a material change takes effect; using Pharma OS after that date means you accept the change.
- Neither of us is responsible for delays caused by events outside reasonable control. If part of these terms is unenforceable, the rest still applies.
